These Terms govern use of BioMedli and apply to all visitors, users, and customers.

Scope and Acceptance

These Terms of Service ("Terms") are a legal agreement between you and Terramedici LifeSciences LLP ("BioMedli," "we," "our," or "us") for access to BioMedli websites, applications, APIs, and related services (the "Service"). By creating an account, uploading any file, or using the Service, you accept these Terms and our Privacy Notice and Cookie Policy.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If you do not agree, do not use the Service.

Eligibility and Accounts

  • You must be at least 18 years old, or the age of digital consent in your jurisdiction.
  • You must provide accurate account information and keep credentials confidential.
  • You are responsible for all activity under your account, including activity by authorized team members.
  • You may not transfer, resell, rent, reverse engineer, or otherwise misuse access credentials or account entitlements.

Medical Disclaimer

BioMedli is an informational and organizational tool. It is not a medical provider, not a medical device, and does not provide diagnosis, treatment, or emergency services. Content generated by the Service may contain errors, omissions, or incomplete interpretation.

Do not ignore professional medical advice based on Service output. If you believe you may have a medical emergency, call local emergency services immediately (for example, call 911 in the United States).

Service Commitments

We may update, improve, suspend, or discontinue parts of the Service at any time. We target high availability but do not guarantee uninterrupted or error-free operation. Maintenance windows, provider outages, and force majeure events may affect service access.

We may apply technical, legal, and policy controls to prevent abuse, fraud, security threats, sanctions violations, or unlawful use.

User Obligations

You agree not to:

  • Upload content you are not legally authorized to share.
  • Upload malware, exploit code, or harmful files.
  • Use the Service to commit fraud, harassment, discrimination, or unlawful surveillance.
  • Attempt to bypass authentication, authorization, or rate limits.
  • Use automated scraping, benchmarking, or model extraction against the Service without permission.
  • Use the Service in violation of export controls, sanctions, or anti-corruption laws.

Billing and Subscription Terms

Paid plans are billed in advance on a recurring basis unless canceled. Prices, taxes, and billing periods are shown at checkout or in an executed order form. You authorize us and our payment processor to charge the selected payment method for due amounts.

  • Fees are non-refundable except where required by law.
  • We may suspend paid features for failed payments after notice and a reasonable cure period.
  • We may change pricing with prospective notice and effect at the next billing cycle.
  • Enterprise terms in a signed order form control in case of conflict with this section.

Data Rights and License

You retain ownership of your uploaded files and resulting health records ("Customer Data"). You grant us a limited, non-exclusive, worldwide license to host, process, store, transmit, and display Customer Data solely to operate, secure, and improve the Service for you.

We do not sell Customer Data. We do not use your identifiable health data to train generalized public AI models. We may use de-identified and aggregated operational metrics to improve reliability, quality, and security.

GDPR and HIPAA

For users in the EEA/UK, we process personal data under GDPR-compatible lawful bases, including performance of contract, consent where required, legal obligations, and legitimate interests. You may request access, correction, deletion, portability, restriction, or objection by contacting us at support@biomedli.com.

BioMedli applies HIPAA-aligned safeguards for sensitive health information. If you are a HIPAA covered entity or business associate and require HIPAA-regulated processing, a signed Business Associate Agreement (BAA) may be required before uploading regulated protected health information.

US State Consumer Terms

For US residents, including California, Colorado, Connecticut, Utah, Virginia, and other states with comprehensive privacy laws, this agreement is intended to be interpreted consistently with applicable consumer privacy rights and restrictions that cannot be waived by contract.

  • Nothing in these Terms limits your non-waivable statutory rights under applicable US consumer privacy law.
  • If state law requires us to offer a right to appeal a denied privacy request, you may submit an appeal through support@biomedli.com.
  • We do not sell personal data or share personal data for cross-context behavioral advertising as defined by California law.

UK Consumer Terms

If you are a UK consumer, these Terms are subject to your mandatory rights under the Consumer Rights Act 2015, the Data Protection Act 2018, UK GDPR, and other applicable UK consumer law. Nothing in these Terms excludes liability that cannot be excluded under UK law.

If any clause would be unenforceable against a UK consumer, that clause will be interpreted to the narrowest extent necessary, and the remainder of these Terms remains in force.

Disclaimers and Liability Limits

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or accuracy.

To the maximum extent permitted by law, BioMedli and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, goodwill, data, or business interruption.

To the maximum extent permitted by law, total aggregate liability for claims arising out of these Terms will not exceed the greater of (a) amounts you paid us in the 12 months preceding the claim or (b) USD 100.

Termination

You may stop using the Service at any time and request deletion as described in our Privacy Notice. We may suspend or terminate access for violations of these Terms, legal risk, unpaid fees, or security threats. Sections that by nature should survive termination will survive, including payment obligations, license scope, disclaimers, limitations of liability, indemnification, and dispute terms.

Governing Law

Unless a signed enterprise agreement states otherwise or mandatory local law requires a different result, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules.

Arbitration and Dispute Resolution

Before filing a formal claim, each party will attempt in good faith to resolve disputes informally for at least 30 days by written notice to the other party.

If a dispute is not resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under applicable consumer or commercial AAA rules. The arbitration venue and seat is Wilmington, Delaware, United States, and proceedings will be conducted in English.

  • Disputes must be brought on an individual basis, not as a class or representative action.
  • Either party may seek temporary or injunctive relief in a court of competent jurisdiction for IP misuse, confidentiality breaches, or immediate security threats.
  • If you are a UK/EEA consumer, this clause does not override mandatory rights to bring claims before courts in your habitual place of residence where local law provides that protection.

You may opt out of this arbitration clause within 30 days of first accepting these Terms by sending a request from your account email to support@biomedli.com with the subject line "Arbitration Opt-Out."
